12月23日晚间，数知科技（300038.SZ）发布公告称，由于四家收购的公司经营状况持续恶化，将出现商誉减值，预计减值金额约为56亿至61亿元。而数知科技的市值才不过50.9亿元。
12月24日，深交所火速下发关注函，7问数知科技商誉减值。
除了并购标的爆雷，数知科技还存在大股东占用上市公司资金问题。据其公告显示，去年以来，公司控股股东累计占用非经营性资金超过16亿元。截至今年11月30日，还有约5.7亿元未归还。
商誉犹如悬在公司头顶的达摩克里斯之剑，投资者要警惕商誉大额减值进而侵蚀公司业绩的风险。
